Terms of Service

The agreement between Iris and the customer.

Version 1.0Effective 2026-01-01Iris Studio

By subscribing to an Iris plan the customer agrees to these Terms of Service. The Service Description, SLA and Data Processing Agreement form part of this agreement.

1. Parties

These Terms apply between Iris Studio ("Iris", "we", "us") and the customer ("Customer", "you") identified on the signed order or online sign-up.

2. Service

Iris provides the services described in the Service Description for the plan the Customer has selected. Iris may improve or evolve the service over time; material reductions in scope will be communicated with at least 30 days' notice.

3. Fees and payment

The setup fee is invoiced when the project starts and is non-refundable once design work has begun. The monthly (or annual) subscription fee starts after the 30-day free trial that follows the site going live.

Invoices are due within 14 days. Late payments accrue statutory interest under Swedish law (räntelagen). Iris may suspend the service after 30 days of overdue payment following written notice.

All prices are stated excluding VAT. Prices may be adjusted once per calendar year with 60 days' notice.

4. Term and termination

Monthly subscriptions have a one-month notice period. Annual subscriptions renew for a further year unless cancelled at least one month before renewal. Either party may terminate for material breach not cured within 30 days of written notice.

On termination Iris will decommission the site at the end of the notice period and provide the Customer with an export of their content (text and images) at no cost.

5. Customer obligations

The Customer is responsible for providing accurate content, ensuring they hold the rights to any material supplied to Iris, keeping their login credentials safe, and using the service in compliance with applicable law.

6. Acceptable use

The service may not be used to distribute unlawful content, malware, phishing pages, adult content without appropriate age verification, or content that infringes third-party rights. Iris may suspend a site that violates these rules after reasonable notice, or immediately in cases of severe abuse.

7. Intellectual property

The Customer keeps ownership of all content they provide. Iris keeps ownership of the underlying code, tooling and templates. The Customer receives a licence to use the delivered site for the duration of the subscription. Feedback and suggestions provided to Iris may be used to improve the service.

8. Confidentiality

Both parties agree to keep non-public information received from the other confidential and to use it only for the purpose of performing this agreement.

9. Warranties and disclaimers

Iris will perform the service with reasonable skill and care. Beyond the specific SLA commitments, the service is provided "as is". Iris does not warrant that the service will be uninterrupted or error-free.

10. Liability

To the maximum extent permitted by law, neither party is liable for indirect or consequential damages, lost profits, lost revenue or loss of data. Iris's total aggregate liability under this agreement is capped at the fees paid by the Customer in the 12 months preceding the event giving rise to the claim.

11. Data protection

Processing of personal data on behalf of the Customer is governed by the Data Processing Agreement (DPA), which forms part of this agreement.

12. Changes to the terms

Iris may update these Terms with at least 30 days' notice. If a change materially reduces the Customer's rights, the Customer may terminate the subscription without penalty before the change takes effect.

13. Governing law

This agreement is governed by the laws of Sweden. Disputes are resolved by the general courts of Sweden, with Stockholm District Court as the court of first instance.
